1. Acceptance of Terms
By accessing or using the website miamiseonerdz.com and engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.
2. Services
Miami SEO Nerdz provides digital marketing services including but not limited to:
- Search Engine Optimization (SEO)
- Pay-Per-Click Advertising (PPC) Management
- Google Business Profile Management
- Web Design and Development
- Link Building
- Local SEO
- SEO Consulting and Audits
The scope of services provided to each client will be outlined in a separate service agreement or proposal. Miami SEO Nerdz reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.
3. Client Responsibilities
To allow Miami SEO Nerdz to deliver services effectively, clients agree to:
- Provide accurate and complete information when requested
- Grant necessary access to websites, Google accounts, ad accounts, and any other platforms required to perform the services
- Respond to communications in a timely manner
- Review and approve deliverables within agreed timeframes
- Ensure all content, images, and materials provided to us do not infringe on any third-party intellectual property rights
Failure to meet these responsibilities may result in delays or interruptions to service delivery, for which Miami SEO Nerdz will not be held liable.
4. Payment Terms
- All fees for services are outlined in the client’s proposal or service agreement
- Monthly retainer payments are due on the first of each month unless otherwise agreed in writing
- Invoices not paid within 15 days of the due date may result in suspension of services
- All payments are non-refundable unless otherwise stated in a separate written agreement
- Miami SEO Nerdz reserves the right to update its pricing with 30 days written notice to existing clients
5. Refund Policy
Due to the nature of digital marketing services, all payments made to Miami SEO Nerdz are generally non-refundable. We invest time, resources, and expertise from the moment a project begins. Refund requests will be evaluated on a case-by-case basis at the sole discretion of Miami SEO Nerdz. No refunds will be issued for services already rendered or work already completed.
6. Intellectual Property
- All strategies, reports, content, and deliverables created by Miami SEO Nerdz remain the intellectual property of Miami SEO Nerdz until full payment has been received
- Upon full payment, ownership of deliverables created specifically for the client will transfer to the client, unless otherwise stated in the service agreement
- Miami SEO Nerdz retains the right to use completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing
- Clients may not reproduce, resell, or distribute any proprietary methodologies, reports, or strategies developed by Miami SEO Nerdz
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. Miami SEO Nerdz will not disclose client business information, strategies, or data to third parties without prior written consent, except where required by law. This confidentiality obligation survives the termination of the service agreement.
8. Results Disclaimer
Miami SEO Nerdz makes no guarantee of specific rankings, traffic levels, leads, or revenue as a result of its services. SEO and digital marketing results depend on many factors outside our control including search engine algorithm changes, market competition, and client website conditions. We commit to applying industry best practices and working diligently toward agreed goals, but we cannot guarantee specific outcomes.
9. Third-Party Platforms
Our services may involve the use of third-party platforms including Google Ads, Google Search Console, Google Business Profile, and others. Miami SEO Nerdz is not responsible for changes, policy updates, or outages on these platforms. Clients are responsible for maintaining their own accounts and ensuring compliance with the terms of service of any third-party platform used.
10. Limitation of Liability
To the fullest extent permitted by law, Miami SEO Nerdz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website. Our total liability to any client for any claim arising from or related to our services shall not exceed the total amount paid by that client in the three months preceding the claim.
11. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination:
- All outstanding invoices become immediately due and payable
- Miami SEO Nerdz will provide the client with any completed deliverables that have been paid for
- Access credentials and assets belonging to the client will be returned within 10 business days
- Miami SEO Nerdz reserves the right to terminate services immediately without notice in cases of non-payment, abusive behavior, or breach of these terms
12. Website Use
By using miamiseonerdz.com you agree that you will not:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to any part of the website
- Transmit any harmful, offensive, or disruptive content
- Copy or reproduce any content from the website without written permission
Miami SEO Nerdz reserves the right to restrict access to the website at any time without notice.
